Terms of Service for ipsi.in

Effective Date: February 9, 2026

Welcome to ipsi, a sub-brand of Hema Infotech Enterprise. These Terms of Service (“Terms”) govern your use of the ipsi.in platform and services. By signing up or using our services, you agree to these Terms. If you are using ipsi on behalf of a company, you represent that you have the authority to bind that entity to these Terms.

1. Description of Services

ipsi provides an AI-powered automation system designed to help businesses capture, qualify, and follow up with leads. Key features include:

  • WhatsApp Automation: Automated messaging via our Chrome Extension or WhatsApp Business API.
  • CRM Dashboard: Lead management and smart triggers.
  • Initial Setup Assistance: Prompt engineering and workflow configuration.

Messaging Responsibility

All messages are sent from your own WhatsApp number or DNS-configured email. You are solely responsible for:

  • Compliance: Ensuring outreach complies with Indian anti-spam laws and Meta (WhatsApp/Facebook) policies.
  • Consent: Obtaining and maintaining valid consent from recipients.
  • Content: The timing, frequency, and content of all automated messages.

2. Fees and Billing

By subscribing to ipsi, you agree to the fees outlined in your chosen plan.

  • Subscription Fees: Billed flatly per authorized user (“seat”). Core features include unlimited AI replies and sequences subject to fair use.
  • WhatsApp API Charges: If you use the official API, Meta (WhatsApp) charges conversation fees. These are NOT included in your ipsi subscription and must be paid directly to Meta or its BSP.
  • One-Time Setup Fees: Packages like “Done-For-You” or “Conversion Lab” carry upfront, non-refundable service fees.
  • Taxes: All fees are exclusive of GST. Applicable taxes will be added to your invoice.

Payment Terms

  • Billing Cycle: Billed in advance (monthly or annually).
  • Suspension for Non-Payment: If payment is 10 days overdue, your account access and automated workflows will be automatically suspended. ipsi is not liable for lost leads during this period.

3. Specific Service Packages

A. “Done-For-You” (DFY) Onboarding

Includes custom AI lead qualification setup, initial 7-day follow-up sequences (including Did-Not-Pick-Up flows), and platform training.

B. “Conversion Lab” Advanced Package

A comprehensive sales funnel service including multi-stage nurturing (Cold vs. Hot lead flows), FOMO/Urgency messaging, and advanced AI Smart Replies. This package includes dedicated consulting and performance tuning.

4. Intellectual Property & Data

  • ipsi IP: All software, algorithms, templates, and trademarks are owned by Hema Infotech Enterprise. You are granted a limited, revocable license for internal business use.
  • Your Data: You retain ownership of your lead data. We process this data only to provide the service.
  • Third-Party Services: You acknowledge that data may be transmitted through third-party systems (e.g., AWS, OpenAI, Meta).

5. Limitation of Liability and Disclaimers

  • “As-Is” Service: We do not guarantee that the service will be error-free or achieve specific business results. AI responses may occasionally be suboptimal; users must monitor their own automations.
  • Liability Cap: To the fullest extent permitted by law, our total liability for any claim in a calendar year shall not exceed the amount paid by you in the preceding six (6) months.
  • Indemnification: You agree to hold Hema Infotech Enterprise harmless from claims arising from your use of the service that violates third-party rights or laws (e.g., sending spam).

6. Termination and Cancellation

  • By You: You may cancel at any time. Access remains active until the end of the paid billing cycle. No mid-term refunds.
  • By ipsi: We may terminate access immediately for violations of law or Meta’s messaging policies.

7. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra (or the location of Hema Infotech Enterprise’s registered office).
